These Terms and Conditions govern your access to and use of the NetZero.tel platform, operated by HCT Group. By accessing or using our platform, you agree to be bound by these terms. If you do not agree, you must not use the platform.

• Platform means the NetZero.tel marketplace accessible at netzero.tel and app.netzero.tel.
• Operator means HCT Group, the entity operating the Platform.
• Buyer means any entity purchasing telecom equipment through the Platform.
• Seller/Vendor means any entity listing telecom equipment for sale on the Platform.
• Equipment means telecom hardware, network infrastructure, and related products listed on the Platform.
• User means any Buyer, Seller, or visitor accessing the Platform.

NetZero.tel operates as a B2B marketplace connecting buyers and sellers of enterprise-grade telecom equipment, including:

• 5G/4G radio access network (RAN) equipment
• Core network infrastructure and packet core systems
• Transport and backhaul solutions
• Optical networking and DWDM systems
• Network management and OSS/BSS platforms
• Power systems, cooling, and site infrastructure
• Enterprise networking and data centre equipment

The Platform facilitates product discovery, quotation requests, and transaction coordination. NetZero.tel acts as an intermediary marketplace and is not a party to transactions between Buyers and Sellers unless explicitly stated.

To access certain features, you may be required to create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activity under your account
• Notify NetZero.tel immediately of any unauthorised access

The Platform is intended for business entities and authorised representatives. By registering, you confirm authority to bind your organisation to these terms.

4.1 Quotations: All prices displayed are indicative. Final pricing is confirmed via formal quotation and may vary based on quantity, configuration, delivery terms, and market conditions.

4.2 Payment Terms: Payment terms are specified in the purchase order or invoice. Standard terms are net 30 days unless otherwise agreed. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law.

4.3 Currencies: Transactions are denominated in USD unless otherwise specified. Currency conversion risks are borne by the paying party.

4.4 Taxes & Duties: All prices are exclusive of applicable taxes, customs duties, and import/export fees. Buyer is responsible for all taxes and duties applicable in their jurisdiction.

Delivery terms are governed by the applicable Incoterms (2020) specified in each order confirmation. Unless otherwise agreed, standard delivery is EXW (Ex Works).

Estimated delivery dates are non-binding. NetZero.tel shall not be liable for delays caused by force majeure, customs clearance, carrier issues, or circumstances beyond reasonable control.

Risk of loss passes to Buyer upon delivery per the agreed Incoterm. Buyer must inspect all shipments within 48 hours of receipt and report any discrepancies or damage immediately.

6.1 Equipment Warranty: Warranty coverage varies by product and vendor. Specific warranty terms are detailed in the product listing and order confirmation. Manufacturer warranties pass through to the Buyer where applicable.

6.2 Returns: Returns are accepted within 14 days of delivery for equipment in original condition and packaging, subject to a restocking fee of up to 15%. Custom-configured or special-order items are non-returnable unless defective.

6.3 Disclaimer: Except as expressly stated, equipment is provided "as described" without additional warranties, express or implied, including merchantability or fitness for a particular purpose.

All content on the Platform, including text, graphics, logos, trademarks, and software, is the property of HCT Group or its licensors. You may not reproduce, distribute, or create derivative works without prior written consent.

Product names, vendor logos, and trademarks displayed on listings remain the property of their respective owners and are used solely for identification purposes.

To the maximum extent permitted by law, NetZero.tel and HCT Group shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform, including loss of profits, data, or business opportunities.

Our total aggregate liability for any claim shall not exceed the fees paid by you to NetZero.tel in the twelve months preceding the claim.

Both parties agree to maintain the confidentiality of any proprietary or commercially sensitive information exchanged through the Platform, including pricing, technical specifications, and business terms. This obligation survives termination for three (3) years.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of export control regulations
• Scrape, crawl, or harvest data without written consent
• Interfere with the security or integrity of the Platform
• Misrepresent your identity, credentials, or authority
• List counterfeit, stolen, or sanctioned equipment
• Circumvent any access restrictions or security measures

NetZero.tel reserves the right to suspend or terminate accounts that violate these terms without prior notice.

Telecom equipment may be subject to export control laws, including those of the United States (EAR), European Union, and other jurisdictions. Users are solely responsible for compliance with all applicable export control and sanctions regulations. NetZero.tel reserves the right to refuse transactions that may violate export restrictions.

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Platform, you consent to such processing.

These terms are governed by and construed in accordance with the laws of the United Arab Emirates, specifically the laws applicable in the Emirate of Dubai.

Any dispute shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration under the rules of the Dubai International Arbitration Centre (DIAC). The seat of arbitration shall be Dubai, UAE, and proceedings shall be conducted in English.

NetZero.tel reserves the right to update these terms at any time. Material changes will be communicated via the Platform or email. Continued use after changes constitutes acceptance of the revised terms.
